Venture capital has played a crucial role in the development of technology and technology related start-up and emerging growth companies over the last decade. Rele & Becker was founded and organized with emerging growth corporations and investors in mind. Emerging growth companies, many of which lack in-house attorneys, demand timely advice and counsel on an exceptionally wide range of legal issues.

Of particular and critical concern for emerging growth corporation's is raising equity and debt financing. The client’s continued existence often depends on the successful consummation of such financing. Our attorneys are well adept at assisting emerging growth companies and have the skills and experience necessary to guide companies and investors in structuring, negotiating and consummating venture capital financing transactions.

Our attorneys have extensive experience structuring, drafting, negotiating and counseling client (both investor and company side) on all types of financing transactions, including 'friends and family' rounds, 'angel' investor rounds, preferred stock issuances, down round financings, pay-to-play financings and convertible bridge note financings.

Representative Transactions:

	Represented a venture fund in its formation and subsequent multi-million dollar capital raise.

	Represented a venture fund principally controlled by a major publicly traded software company in its formation and subsequent investment activities.

	Represented investors (venture funds, individuals and corporate strategic investors) and private companies in over fifty venture financing transactions. Such transactions each valued between $1,000,000 and $20,000,000, consisted of common stock issuances, preferred stock issuances, bridge financings (with or without warrants attached), ‘pay to play' rounds and down round financings. 	Represented a software company in its Series A, Series B, Series C, Series C-1 (‘Pay to Play' round) and Series D Convertible Preferred Stock financing rounds.

	Represented private equity fund in its investment in an aerospace component business.

	Represented major west coast venture fund in its investment in Series A Convertible Preferred Stock of a data storage company.

	Represented online financial data company in its Series A, Series B, Series B-1 (‘Pay to Play' round), Series C, Series D and Series B-1 (recapitalization round) Convertible Preferred Stock financing rounds.

	Represented placement agent in the sale of bridge notes and preferred stock of a mobile wireless Company.

	Represented a large United Kingdom based equity fund as lead investor in the Series A Financing of a software development Company.

	Represented a medical device manufacturer in its Series C and Series D Convertible Preferred Stock financing rounds.

	Represented a venture fund in its investment in its Series B Convertible Preferred Stock of a beverage supply company.

	Represented a financial services company in its Series C Convertible Preferred stock financing round.

	Represented a wireless technology company in its Series A and Series B Convertible Preferred Stock financing rounds.

	Represented an online advertising company in its Series A, Series B, Series C Convertible Preferred Stock financing rounds.

	Represented an internet technology development company in its Series B and Series C Convertible Preferred Stock financing rounds.

	Represented an online retailer in its Series A Convertible Preferred Stock financing round.

	Represented an education company in its Series B Convertible Preferred Stock financing round.
